Terms and Conditions

UNLESS OTHERWISE AGREED IN WRITING, THE FOLLOWING TERMS AND CONDITIONS OF PRODUCT SALES ARE LIMITED TO THOSE CONTAINED HEREIN.

These Terms and Conditions constitute a binding contract between Buyer and VRLA Tech, LLC (“VRLA”)
and are referred to herein as “Terms and Conditions.” Buyer accepts these Terms and Conditions by making a purchase
from or placing an order with VRLA or shopping on any VRLA-affiliated website.
These Terms and Conditions are subject to change without prior notice.

Buyer consents to receiving electronic records. Individual consumers may withdraw consent to receiving electronic
records or request records in non-electronic form by contacting VRLA.


Governing Law; Venue; Arbitration Priority

These Terms and Conditions and any agreement into which they are incorporated shall be governed by, construed,
and enforced under the laws of the State of California, excluding its conflicts-of-law rules.

Arbitration is the default and exclusive method of dispute resolution for all claims covered by
the Arbitration section below. Court proceedings in state or federal courts located in Los Angeles, California
are permitted only where arbitration is expressly excluded under these Terms and Conditions.


Limited Hardware Warranty

VRLA Tech warrants that all of its systems are free from defects in material and workmanship, subject to the
conditions, exclusions, and limitations set forth herein. To the extent permitted by law, VRLA Tech may, at its
discretion, repair, replace, or refund any product that manifests a defect during the applicable warranty period.

Warranty Periods

  • Gaming PCs: Two (2) years from the date of delivery, plus lifetime technical support
  • VRLA Tech Workstations & Servers: Three (3) years from the date of delivery, plus lifetime technical support. All systems are built with new components
  • HP Workstations: Three (3) years from the date of delivery
  • Individual components sold separately (not as part of a full system): Thirty (30) days from the date of delivery

What the Limited Warranty Covers

Defects in materials and workmanship of the hardware as originally shipped.

What the Limited Warranty Does Not Cover

  • Software, including operating systems
  • Failure to follow product instructions
  • Failure to perform preventive maintenance
  • Use of unsupported accessories or components
  • Addition or removal of parts by Buyer or third parties
  • Repairs or modifications by Buyer or third parties
  • Accidents, abuse, liquid damage, misuse, or electrical issues
  • Acts of God, including fire, earthquake, flood, or storms
  • Normal wear and tear
  • Overclocking
  • Missing or altered serial numbers
  • Products for which VRLA has not received full payment


EXCEPT FOR THE EXPRESS WARRANTIES STATED HEREIN, VRLA DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES AGAINST LATENT DEFECTS.
VRLA SHALL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR THIRD-PARTY DAMAGES OR FOR LOST OR DAMAGED DATA OR SOFTWARE.
NO WARRANTIES APPLY AFTER THE WARRANTY PERIOD EXPIRES.


Pricing

VRLA reserves the right to adjust pricing, products, and services at any time. Quoted prices do not include taxes,
shipping, handling, duties, or other fees unless expressly stated. Buyer is responsible for all applicable taxes
unless a valid exemption certificate is provided prior to shipment.


Payment Methods

VRLA accepts major credit cards, PayPal, COD, wire transfer, certified check, cashier’s check, personal check,
and company check. VRLA reserves the right to require additional verification or documentation, including where
billing and shipping addresses do not match. Products and services will not be released until all payments have cleared.
Net terms may be offered at VRLA’s discretion following credit approval.


Shipment; Shipping; Risk of Loss

Changes cannot be made to orders once they have been shipped.

High-end graphics cards may be shipped uninstalled to minimize the risk of damage during transit.
Buyers may contact VRLA support for assistance with installation if needed.

Shipping Carriers: FedEx, UPS, or USPS Priority Mail.

Ground shipping typically requires three (3) to ten (10) business days from the date of shipment.
Shipping times are estimates only and not guaranteed.

  • No P.O. boxes or APO/FPO addresses
  • Buyer responsible for shipping insurance
  • International buyers responsible for customs, duties, and taxes
  • Delays may occur due to supply chain or carrier issues


Title and risk of loss pass to Buyer upon delivery to the carrier (F.O.B. Origin).


Cancellations

Orders may be cancelled for a full refund while in Processing status. Once an order enters Parts Allocated,
In Production, Pre-Shipment, or Shipped status, cancellation is subject to a twenty percent (20%) restocking fee.


Custom-built orders and Mission-Critical Orders cannot be cancelled once processing begins.


Returns and Repairs

All returned hardware must be undamaged, unused, and in as-new condition, in original packaging.
Opened or activated software is not eligible for return.

Buyer must obtain a Return Merchandise Authorization (RMA) prior to any return.


Orders totaling $20,000 or more and special order parts are final and not eligible for return.


Definitions

Custom-Built System: Any system configured to Buyer specifications.

Mission-Critical Order: Any order designated by VRLA as time-sensitive or priority-based.


Limitation of Liability

VRLA’s total liability shall not exceed the amount paid for the product or service giving rise to the claim.
VRLA shall not be liable for indirect, incidental, special, punitive, or consequential damages.


Arbitration (Default Dispute Resolution)

Any dispute shall be resolved exclusively by binding arbitration under AAA rules in Los Angeles, California.
Buyer waives any right to participate in a class action.


Severability; Entire Agreement

If any provision is held unenforceable, the remaining provisions shall remain in full force.
These Terms and Conditions constitute the entire agreement between the parties.
